2.1 Physical Products

Board Craft LLC may sell physical products that utilize the NFC Alchemy platform, including but not limited to:

• Smart Bookmarks - NFC-enabled bookmarks with pre-configured time tracking applications
• NFC tags and cards pre-programmed with NFC Alchemy URLs
• Other physical products integrating NFC Alchemy services

PHYSICAL PRODUCT DISCLAIMER: Physical products are sold separately from the digital Service. While we strive to provide quality physical products, Board Craft LLC is not responsible for:

• Physical wear, damage, or degradation of NFC tags or products over time
• Compatibility issues with specific devices or NFC readers
• Loss, theft, or destruction of physical products
• Changes in device manufacturer NFC support or specifications
• Environmental factors affecting NFC tag performance

If your physical NFC product stops functioning, you may purchase a replacement. You retain the ability to write your existing URLs to new NFC tags you own or purchase.

2.2 Location-Based Features

The Service may include optional location-based features, including but not limited to:

• Geolocation tracking and logging
• Geofencing to restrict access based on location
• Location history and mapping
• Location-based access controls

LOCATION FEATURES DISCLAIMER: Location-based features rely on device GPS, cellular, and WiFi positioning systems. Board Craft LLC is not responsible for:

• Inaccurate location data due to device limitations, GPS signal issues, or environmental factors
• Failure of geofencing features due to inaccurate location data
• Unauthorized access that occurs due to location spoofing or GPS manipulation
• Battery drain or device performance issues related to location services
• Privacy implications of enabling location features on shared or public pages

By enabling location features, you acknowledge that location accuracy varies and may not be suitable for security-critical applications. You are solely responsible for configuring and using location features appropriately.

3.1 Age Requirement

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service.

3.2 Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your account information is accurate and current
• Any content you create, upload, or distribute through the Service

3.3 One Account Per User

Users may maintain only one account unless explicitly authorized by Board Craft LLC.

3.4 URL Privacy and Public Access

YOU ACKNOWLEDGE AND AGREE THAT URLs ASSOCIATED WITH YOUR ACCOUNT, PRODUCTS, OR PURCHASES MAY HAVE PUBLICLY ACCESSIBLE FEATURES. ANYONE WITH ACCESS TO YOUR URL CAN VIEW AND POTENTIALLY INTERACT WITH PUBLIC FEATURES ON YOUR PAGE.

Your NFC Alchemy URLs use UUID7 identifiers that are difficult to guess but are NOT password-protected by default. You are solely responsible for:

• Keeping your URLs private if you do not desire public access
• Not sharing URLs publicly if they contain sensitive information
• Understanding that anyone with the URL link can access public features
• Configuring appropriate access controls if available

BOARD CRAFT LLC IS NOT RESPONSIBLE FOR UNAUTHORIZED ACCESS TO YOUR PAGES IF YOU SHARE OR EXPOSE YOUR URLs. TREAT YOUR URLs LIKE PASSWORDS IF PRIVACY IS IMPORTANT TO YOU.

4.1 Free Trial

Free trials are offered at our sole discretion. Trial terms, duration, and availability may change at any time without notice. No payment information is required for trials. Upon trial expiration, your URLs will be deactivated unless you subscribe.

4.2 Paid Subscriptions

Paid subscriptions are billed monthly on a recurring basis. By subscribing, you authorize Board Craft LLC to charge your payment method automatically each billing cycle until you cancel.

4.3 Pricing Changes

We reserve the right to change pricing at any time. Price changes will take effect at the start of your next billing cycle following notice of the change.

4.4 Refunds

Refunds are provided on a prorated basis for unused service time when you cancel your subscription. Refunds are processed at our sole discretion and are not guaranteed.

4.5 Failed Payments

If payment fails, we may suspend or terminate your account and deactivate your URLs without prior notice.

5.1 Permitted Use

You may use the Service for lawful purposes only, in compliance with all applicable local, state, national, and international laws and regulations.

5.2 Commercial Use Disclaimer

COMMERCIAL USE OF THIS SERVICE IS ENTIRELY AT YOUR OWN RISK. Board Craft LLC makes no warranties or representations regarding the suitability of this Service for any commercial purpose. You assume all risk and liability for any commercial application of this Service.

5.3 User Responsibilities

You are solely responsible for:

• All content you create, upload, or link to through the Service
• Ensuring your use complies with all applicable laws
• Obtaining any necessary rights, licenses, or permissions for your content
• The accuracy of information displayed on your URL pages

6.1 Strictly Prohibited Activities

The following activities are strictly prohibited and will result in immediate account termination and permanent ban:

Malicious Technical Activities:

• Code injection, SQL injection, XSS attacks, or any form of malicious code injection
• Attempting to gain unauthorized access to the Service, other accounts, or connected systems
• Uploading malware, viruses, trojans, worms, or any malicious software
• Attempting to exploit vulnerabilities in the Service
• Scraping, crawling, or automated data collection without authorization
• DDoS attacks, flooding, or any attempt to overwhelm or disrupt the Service
• Bypassing security measures, authentication systems, or access controls
• Reverse engineering, decompiling, or disassembling any part of the Service

Spam and Abuse:

• Spamming URLs or creating URLs for spam purposes
• Mass distribution of unsolicited messages or links
• Creating misleading, deceptive, or fraudulent URL pages
• Phishing attempts or impersonating other entities
• Generating artificial traffic or engagement
• Using the Service for pyramid schemes, multi-level marketing scams, or fraudulent schemes

Illegal Content:

• Content that violates any applicable law or regulation
• Content that infringes on intellectual property rights
• Content promoting illegal activities or substances
• Content involving the exploitation of minors in any way
• Content promoting terrorism, violence, or hate crimes
• Stolen data, credentials, or personally identifiable information

Harmful Content:

• Content promoting self-harm or suicide
• Content containing credible threats of violence
• Content designed to harass, bully, or intimidate
• Hate speech targeting individuals or groups based on protected characteristics
• Doxxing or publishing private information without consent

Adult and Inappropriate Content:

• Pornographic or sexually explicit material
• Graphic violence or gore
• Content inappropriate for general audiences without proper age verification

6.2 Consequences of Violations

Violations of this Acceptable Use Policy will result in:

• Immediate account suspension or termination
• Permanent ban from the Service
• Deletion of all associated data without backup or recovery
• Reporting to appropriate law enforcement authorities when warranted
• Pursuit of legal action to recover damages and costs

6.3 Reporting to Authorities

WE RESERVE THE RIGHT TO REPORT ANY SUSPICIOUS, MALICIOUS, OR ILLEGAL ACTIVITY TO APPROPRIATE LAW ENFORCEMENT AUTHORITIES, INCLUDING BUT NOT LIMITED TO LOCAL POLICE, FBI, INTERPOL, OR OTHER RELEVANT AGENCIES. We will cooperate fully with any law enforcement investigation and may provide user data, logs, IP addresses, and any other relevant information without notice to you.

7.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, images, audio clips, and the compilation thereof, is the exclusive property of Board Craft LLC and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of content you create. However, by using the Service, you grant Board Craft LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service becomes the exclusive property of Board Craft LLC without any obligation to you.

8.1 Data Collection

We collect and process data as described in our Privacy Policy. By using the Service, you consent to such collection and processing.

8.2 No Obligation to Retain Data

WE ARE UNDER NO OBLIGATION TO STORE, MAINTAIN, OR RETAIN YOUR DATA. You are solely responsible for maintaining backups of any content you create using the Service.

8.3 Data Deletion

We reserve the right to delete any and all data, including but not limited to account information, URL pages, analytics, and associated content, at any time, for any reason, or for no reason, without prior notice and without liability.

8.4 Data Retention After Account Termination

Upon account termination, voluntary or involuntary, your data may be immediately and permanently deleted. We make no guarantees regarding data retention periods and are not responsible for any data loss.

8.5 Security

While we implement reasonable security measures, we cannot guarantee the absolute security of your data. You acknowledge that data transmission over the internet is inherently insecure.

9.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings.

9.2 Traffic Monitoring and Abuse Prevention

WE ACTIVELY MONITOR TRAFFIC PATTERNS AND USAGE ACROSS THE SERVICE. IF WE DETECT UNUSUALLY HIGH TRAFFIC, SUSPICIOUS ACTIVITY, OR ABUSIVE BEHAVIOR ASSOCIATED WITH YOUR ACCOUNT OR URLs, WE RESERVE THE RIGHT TO:

• Temporarily or permanently disable your URLs without prior notice
• Cycle (change) your URL identifiers to prevent ongoing abuse
• Restrict or suspend access to your account
• Rate-limit or throttle traffic to your pages
• Cancel your subscriptions without refund if abuse continues
• Permanently ban your account and associated email addresses

Abusive behavior includes but is not limited to: excessive automated requests, DDoS attacks originating from or targeting your URLs, spam distribution, malware hosting, or any activity that negatively impacts Service performance for other users.

IF YOUR ACCOUNT OR URLs ARE DISABLED DUE TO ABUSE AND THE ISSUE IS NOT RESOLVED TO OUR SATISFACTION, WE RESERVE THE RIGHT TO PERMANENTLY TERMINATE YOUR ACCOUNT AND BAN YOU FROM THE SERVICE.

9.3 Termination by Us

WE RESERVE THE RIGHT TO SUSPEND, RESTRICT, OR TERMINATE YOUR ACCOUNT AND ACCESS TO THE SERVICE AT ANY TIME, FOR ANY REASON, OR FOR NO REASON, WITH OR WITHOUT NOTICE, AND WITHOUT LIABILITY TO YOU.

Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Violation of the Acceptable Use Policy
• Suspected fraudulent, abusive, or illegal activity
• Unusually high traffic or resource consumption
• Extended periods of inactivity
• Requests by law enforcement or government agencies
• Technical or security issues
• Discontinuation of the Service or any part thereof
• Any other reason at our sole discretion

9.4 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Your URLs will be deactivated
• Your data may be immediately and permanently deleted
• You remain liable for any outstanding charges
• Provisions of these Terms that by their nature should survive termination shall survive

10.1 'As Is' Basis

THE SERVICE AND ALL PHYSICAL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10.2 No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, BOARD CRAFT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• WARRANTIES REGARDING DATA INTEGRITY, BACKUP, OR RETENTION
• WARRANTIES REGARDING CONTINUOUS AVAILABILITY OR UPTIME

10.3 Physical Product Warranties

PHYSICAL PRODUCTS INCLUDING NFC TAGS, SMART BOOKMARKS, AND RELATED HARDWARE ARE PROVIDED WITHOUT WARRANTY. WE SPECIFICALLY DISCLAIM:

• Warranties regarding NFC tag durability, lifespan, or performance
• Warranties regarding compatibility with all NFC-enabled devices
• Warranties regarding physical product materials or construction
• Warranties that physical products will function indefinitely

10.4 Location Feature Warranties

WE MAKE NO WARRANTIES REGARDING LOCATION-BASED FEATURES, INCLUDING:

• Accuracy of GPS, cellular, or WiFi-based location data
• Reliability of geofencing or location-based access controls
• Suitability of location features for security-critical applications
• Prevention of location spoofing or GPS manipulation

10.5 Third-Party Services

We make no warranties regarding any third-party services, integrations, hosting providers, or content accessed through the Service. This includes but is not limited to cloud hosting providers, CDN services, payment processors, and email delivery services.

10.6 Commercial Suitability

WE MAKE NO WARRANTY THAT THE SERVICE IS SUITABLE FOR COMMERCIAL USE. ANY COMMERCIAL APPLICATION IS UNDERTAKEN ENTIRELY AT YOUR OWN RISK. THE SERVICE IS NOT DESIGNED FOR MISSION-CRITICAL, LIFE-SAFETY, OR HIGH-RELIABILITY APPLICATIONS.

10.7 Data Loss

WE DO NOT WARRANT AGAINST DATA LOSS. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF ANY IMPORTANT DATA. DATA MAY BE LOST DUE TO TECHNICAL FAILURES, USER ERROR, SECURITY BREACHES, OR SERVICE DISCONTINUATION.

11.1 No Liability for Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOARD CRAFT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, GOODWILL, OR DATA
• COST OF PROCUREMENT OF SUBSTITUTE SERVICES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES ARISING FROM ANY CONTENT OR CONDUCT OF ANY THIRD PARTY
• DAMAGES ARISING FROM ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Specific Exclusions

WITHOUT LIMITING THE FOREGOING, BOARD CRAFT LLC SHALL NOT BE LIABLE FOR:

• Loss of data, time tracking records, or other information stored in the Service
• Failure or malfunction of physical NFC products, tags, or Smart Bookmarks
• Inaccurate location data, geofencing failures, or location-based access issues
• Service outages, downtime, or unavailability regardless of duration or cause
• Database failures, corruption, or loss of stored information
• URL compromise, unauthorized access, or security breaches
• Changes to device or browser compatibility that affect Service functionality
• Third-party infrastructure failures affecting Service availability
• Any business losses, missed opportunities, or commercial damages
• Emotional distress, inconvenience, or non-economic losses

11.3 Physical Product Liability

FOR PHYSICAL PRODUCTS (INCLUDING BUT NOT LIMITED TO SMART BOOKMARKS AND NFC TAGS), OUR LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PHYSICAL PRODUCT. WE ARE NOT LIABLE FOR:

• Product wear, damage, or failure after delivery
• Loss of data or functionality associated with physical products
• Incompatibility with specific devices or use cases
• Any indirect damages arising from physical product issues

11.4 Maximum Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

11.5 Essential Purpose

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11.6 Basis of the Bargain

You acknowledge that Board Craft LLC has offered the Service and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein, and that these provisions form an essential basis of the bargain between the parties. The Service would not be provided at its current pricing without these limitations.

11.7 Acknowledgment of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE AND ANY PHYSICAL PRODUCTS IS AT YOUR SOLE RISK. YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR DEVICES, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICE.

12.1 Your Indemnification Obligations

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS BOARD CRAFT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATING TO:

• Your use of the Service or physical products
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Any content you create, upload, or distribute through the Service
• Any claim that your content caused damage to a third party
• Your negligence or willful misconduct
• Your use of location-based features and any resulting privacy or access issues
• Claims arising from your use of physical NFC products in commercial or high-risk applications
• Claims arising from shared or public URL access

12.2 Physical Product Indemnification

You specifically agree to indemnify us against any claims arising from your use of physical products (including Smart Bookmarks and NFC tags) in any application where product failure could result in personal injury, property damage, financial loss, or other harm.

12.3 URL Privacy Indemnification

You agree to indemnify us against any claims arising from unauthorized access to your URL pages. You acknowledge that your URLs may have publicly accessible features and that keeping your URLs private is your sole responsibility. We are not liable for any damages resulting from you sharing, exposing, or failing to protect your URL identifiers.

12.4 Defense and Settlement

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of such claims.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Mandatory Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES.

13.3 Waiver of Class Action

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.4 Waiver of Jury Trial

YOU AND BOARD CRAFT LLC HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE.

13.5 Time Limitation

ANY CLAIM OR CAUSE OF ACTION ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR BE FOREVER BARRED.

13.6 Injunctive Relief

Notwithstanding the foregoing, Board Craft LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

14.1 Service Availability

THE SERVICE IS PROVIDED ON AN "AS AVAILABLE" BASIS. WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR ERROR-FREE OPERATION OF THE SERVICE.

You acknowledge and agree that:

• The Service may experience downtime, outages, or interruptions at any time
• Scheduled and unscheduled maintenance may affect Service availability
• Third-party service providers, hosting infrastructure, or network issues may impact the Service
• We are not responsible for any losses resulting from Service unavailability

14.2 Unexpected Failures and Service Interruptions

BOARD CRAFT LLC SHALL NOT BE LIABLE FOR ANY UNEXPECTED FAILURES, SERVICE INTERRUPTIONS, DATA LOSS, OR DAMAGES RESULTING FROM:

• Server failures, crashes, or hardware malfunctions
• Software bugs, errors, or unexpected behavior
• Database corruption or data loss
• Network outages or connectivity issues
• Third-party service failures (hosting providers, CDNs, payment processors, etc.)
• Cyberattacks, hacking, or security breaches
• Natural disasters, power outages, or other force majeure events
• Human error in system administration or maintenance
• Any other technical or non-technical failure beyond our reasonable control

You are solely responsible for maintaining your own backups of any critical data stored within the Service.

14.3 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability. This includes but is not limited to:

• Adding, removing, or changing features and functionality
• Changing the user interface or user experience
• Modifying API endpoints or integrations
• Changing storage limits, rate limits, or usage restrictions

14.4 No Obligation to Maintain

We are under no obligation to maintain, support, upgrade, or update the Service. The Service may be discontinued entirely at our sole discretion.

14.5 Feature Changes

Features, pricing, and terms may change at any time. We are not obligated to provide any specific features or functionality, and features available today may not be available in the future.

14.6 Service Discontinuation

IN THE EVENT OF COMPLETE SERVICE DISCONTINUATION, WE WILL MAKE REASONABLE EFFORTS TO PROVIDE ADVANCE NOTICE WHEN PRACTICABLE. HOWEVER, WE ARE NOT OBLIGATED TO PROVIDE ANY NOTICE PERIOD, DATA EXPORT TOOLS, OR TRANSITION ASSISTANCE.

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Board Craft LLC regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

15.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
